Who hires and pays
The company, through the accountant or finance · Opens the conversation, sends the corporate documents, receives the quote and pays · Attend validation in the holder's place
Who attends validation
The director listed in the QSA (e-CNPJ) or the partner (e-CPF) · Presents the original document live, on the video call or in London · Be replaced by an attorney-in-fact, spouse or accountant

Real case
Illustrative scenario. A clothing manufacturer in Blumenau has one of its partners as director, and she moved to Milan to lead the brand's expansion in Europe. The company's accountant received a warning that the DCTFWeb was not being filed because the previous e-CNPJ, issued while she still lived in Brazil, had expired. He opened the WhatsApp conversation on behalf of the company, sent the consolidated articles and the CNPJ card, and asked the director to send a photo of her Brazilian passport. The prior check showed the QSA already listed her as director — no amendment pending. Validation was booked for 9 am Milan time; the accountant joined the call from Blumenau. With the e-CNPJ A1 issued, she installed it on her laptop, logged into e-CAC and granted the electronic power of attorney to the accountant that same afternoon. Documents the company sends
- Consolidated articles of association or the latest amendment registered with the commercial registry
- Proof of an active CNPJ (current CNPJ card)
- QSA consistent with the holder who will attend validation
- The holder's Brazilian photo ID: passport, RG or CNH, within validity
- The holder's CPF in regular status
- For partners who will sign acts: the same personal data, one by one, for their respective e-CPFs
Before you decide
“Can the accountant do the validation in the director's place?”
No. Validation is personal and non-transferable; it is what guarantees the presumption of authorship of the signatures made afterwards. The accountant follows along but does not stand in.
“The director is in a difficult time zone”
The session is booked in their hours, not the company's nor London's. The accountant may join the call from Brazil if they wish.
“Can the company pay from outside Brazil?”
Yes. Payment does not require a Brazilian account; the amount is confirmed in writing in the conversation opened by the company.
“Does hiring as an individual follow a different playbook?”
