ICP-Brasil digital certificate consulting: the six-question diagnosis for companies and accountants with partners outside Brazil

When a company has a partner, a director or an accountant in different countries, the question stops being “do I need a certificate?” and becomes “how many, of which type, in whose name and under what custody rule?”. This ICP-Brasil digital certificate consulting answers that with a six-question diagnosis, run on WhatsApp before any issuance — so the company buys only the certificates it will use and knows who signs what.

  • Diagnosis before issuance
  • Service for accountants and firms
  • e-CNPJ and partners' e-CPFs in one flow

Why diagnose before issuing

Buying certificates without mapping the company's acts produces two opposite mistakes: the director issues an e-CNPJ and discovers that amending the articles requires each partner's e-CPF, or the company issues five certificates and uses one. The diagnosis separates who represents the CNPJ from who signs as an individual, who files obligations and who merely follows along. The outcome is a short list: certificate, holder, model and purpose.

The diagnosis in six questions

1. Who is the legal representative in the QSA or the articles of association?

Only that person can hold the e-CNPJ; an attorney-in-fact cannot. If the registered director lives abroad, issuance is done with them by video. If the director changed and the registry was not updated, the amendment comes before the certificate.

2. Which acts does the company perform in a year?

Tax and labour obligations call for the e-CNPJ or a power of attorney to the accountant. Amendments, minutes and dissolutions call for the e-CPF of each partner who signs. Commercial contracts can be signed by the director with either, depending on what the contract requires.

3. How many partners are outside Brazil, and where?

Every partner who signs corporate acts needs their own e-CPF. We map each one's time zone and documents and organise the validations in sequence, with a single point of contact.

4. Is there a branch, a holding or a subsidiary?

Each CNPJ has its own e-CNPJ, issued to the director of that registration. A holding with a director abroad and an operating company in Brazil usually needs two certificates in different names.

5. Who files the obligations: the company or the accountant?

If the accountant files, the cleanest solution is the RFB electronic power of attorney used with their certificate. If the company files internally, the e-CNPJ stays with whoever operates the system, under a written custody rule.

6. What is the custody and revocation rule?

We define with the company where the certificate lives (A1 on a specific machine or A3 on a token or in the cloud), who knows the password, what happens when the holder leaves and how to revoke the same day, with publication in the CRL and OCSP.

An importer with three partners in three countries

Real case

Illustrative scenario. A medical equipment importer in Curitiba has three partners: the managing partner lives in Miami, another partner is in Lisbon and the third stayed in Brazil. The company's accountant was trying to file the ECD with an e-CNPJ that had been issued to the Brazilian partner — who had not been the director since the last amendment. At the same time, a new amendment to the articles was waiting for the signatures of the two partners abroad, each assuming the company's e-CNPJ would be enough. The diagnosis resulted in three issuances: an e-CNPJ to the managing partner in Miami, e-CPFs for her and for the partner in Lisbon, and an electronic power of attorney to the accountant for the filings. The partner in Brazil renewed his e-CPF on his own. The amendment was signed within a week, from three countries. — A typical case of a family business expanding internationally

What the consulting delivers

Certificate map

A table with holder, type, model, validity and purpose for each recommended certificate — with no superfluous items.

Validation plan

Order of sessions by time zone, each holder's documents and what to check beforehand (regular CPF, valid ID, updated QSA).

Custody and succession rule

Where each certificate lives, who operates it, what to do when a director leaves and how to revoke without interrupting filings.

Guidance for the accountant

How to receive the electronic power of attorney on e-CAC, what it covers and how to renew it when the defined term ends.

Compliance and data protection

A certificate shared between people is a compliance problem before it is a technical one: signatures become attributed to someone who did not make them, and the company loses the ability to say who performed each act. The LGPD (Law 13.709/2018) reinforces this by requiring that personal data, including the certificate holder's, be processed for a defined purpose with controlled access. That is why the diagnosis always ends with a written custody rule. The most frequent director-change situations are in legal representative and digital certificate, and governance for companies with partners abroad in digital certificate for Brazilian companies abroad.

Before you decide

“The accountant already has a certificate; why more?”

The accountant's certificate files obligations under a power of attorney, but does not sign corporate acts or represent the company in contracts. For that, the director needs the e-CNPJ or their own e-CPF.

“The partners are in incompatible time zones”

Validations are individual; each partner does theirs in local time, and the company follows progress through a single channel.

“Is an e-CNPJ abroad safe for the company?”

The private key stays with the director, just as in Brazil. The custody rule defined in the diagnosis is what protects the company, not the place of issuance.

“Does this cost more than issuing in Brazil?”

The diagnosis is part of the service; each certificate starts at €200. Compare that with flying two partners from abroad to a Brazilian RA.

Transparent pricing

From €200

The diagnosis is not charged separately: it defines the certificate list, and each issuance is quoted by holder, model and validity. Companies with several holders receive one consolidated written quote.

Accountant fees and commercial registry charges are outside the quote.
